Corporate Structuring & Operations

Collins & Khan possesses expertise in analyzing the appropriate form of entity through which a client should conduct business in order to maximize the value of its assets while minimizing its risks. Our clients range from start-up companies to sophisticated investors and multinational corporations. Among the issues and individual factors we consider are the client’s business and tax goals, investment criteria and risk assessments. We believe that the proper structuring of a business is indispensable for its long term success.

In addition, we advise clients on concerns related to strategic alliances or joint ventures with other parties, corporate formality, securities law compliance, intellectual property protection and exploitation, employment matters, and contractual arrangements with suppliers, distributors, licensees and others conducting business with our clients.

Family Business Planning

Collins & Khan advises clients on organization and structure of business entities involving family members, particularly high net-worth families. We understand the sensitivity of a myriad of issues, including a divergence of personal interests that may arise when family members embark on business ventures together or are otherwise interlinked by family or generational wealth. Our expertise is highly effective in ensuring all family members’ concerns are appropriately addressed in a discrete and effective fashion.

We negotiate business transactions with and between family members, which include the negotiation and resolution of family disputes and business transactions, including buyouts of a family member’s interest in operating entities.

Collins & Khan has extensive experience to serve as deal counsel, either on the buy-side or sell-side, in complex transactions for our corporate clients. We represent clients of all sizes, types and industries in every aspect of mergers, acquisitions, reorganizations, recapitalizations, spinoffs, purchases, sales, and other divestitures. These range from purchases and sales of assets or stock, to complex multi-party mergers or reorganizations. Our practice experience also includes leveraged buyouts, earn-outs, split-ups and acquisitions in connection with workouts or bankruptcies.

Our clients include Fortune 500 companies, private equity funds, and privately-held companies of all different sizes. Our approach is designed to maximize the value of the underlying deal while minimizing the risks of our clients.
