Family Business Planning

Collins & Khan advises clients on organization and structure of business entities involving family members, particularly high net-worth families. We understand the sensitivity of a myriad of issues, including a divergence of personal interests that may arise when family members embark on business ventures together or are otherwise interlinked by family or generational wealth. Our expertise is highly effective in ensuring all family members’ concerns are appropriately addressed in a discrete and effective fashion.

These range from purchases and sales of assets or stock, to complex multi-party mergers or reorganizations. Our practice experience also includes leveraged buyouts, earn-outs, split-ups and acquisitions in connection with workouts or bankruptcies.

Restructuring and Loan Workout

Collins & Khan Real Estate Restructuring and Loan Workout Group works with owners, investors, developers, lenders, landlords and tenants to identify, assess, and address issues and opportunities that arise in connection with the acquisition, disposition, restructuring, repositioning and workout of distressed real estate assets.

Our practices in this spectrum include:

  • Restricting and renegotiation of credit obligations of borrowers, the prosecution of lender liability and other state law claims and the use of federal bankruptcy law protections to implement the reorganization of over-leveraged enterprises.
  • Structuring and documenting of unconventional financing, including gap equity, loan assumptions, purchase money financings and private capital sources.
  • Representation of investors, borrowers, lenders, landlords and tenants in bankruptcy and state court disputes, including foreclosures, receiverships, unlawful detainer actions, and relief from stay proceedings.
  • Resolving disputes among joint owners of property, including shareholders, partners, joint ventures, LLC members, and joint tenants through negotiation or litigation.
